Tennessee now defines wholesaling and equitable interest in statute and gives wholesalers an explicit legal path. Before the seller signs, the wholesaler must disclose in writing, in bold large-font type in the agreement or an addendum, that they intend to market or assign their interest. If the contract is assigned, the seller must be told the assignment’s effective date at least three business days in advance. The end buyer must also be told the wholesaler holds equitable interest, not title.

What it means for a double close

The disclosures are built around assignment. A double close involves no assignment and your end buyer purchases from you as the recorded owner, so the three-day assignment notice never triggers. If your A-to-B contract keeps an assignment clause, include the pre-contract disclosure to stay clearly compliant.
