Pennsylvania expanded the definitions of broker and salesperson to cover people who promote the sale of an equitable interest in property they do not own of record. Wholesale agreements must state prominently that the transaction transfers an interest without title, that the consumer may consult an appraiser and a lawyer, and that the consumer may cancel until the earlier of 30 days after signing or conveyance, with refunds within ten business days. The cancellation right cannot be waived.
What it means for a double close
Act 52 is broader than most state rules, and some summaries read it as removing the usual ownership exemption. Do not assume a back-to-back closing is outside it. Pennsylvania closings are handled by title companies. Philadelphia layers its own wholesaler licensing ordinance on top of Act 52, so a Philadelphia deal has two sets of rules to clear.
